1. Overview & Acceptance
These Official Terms & Conditions (“Terms”) govern the Alpha Intelligence Affiliate Competition (“Contest” or “Competition”). By registering for, participating in, or otherwise engaging with the Contest, you (“Participant,” “Affiliate,” or “you”) acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety.

These Contest Terms are supplemental to and governed by the Alpha Intelligence Affiliate Program Agreement. In the event of a conflict between these Terms and the Affiliate Program Agreement, these Terms shall control with respect to Contest-specific matters.

Participation in this Contest is voluntary and constitutes full acceptance of these Terms.

2. Eligibility
To be eligible for the Contest, you must:

1 Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater);
2 Be an active, approved affiliate in the Alpha Intelligence Affiliate Program at the time of Contest registration and throughout the entire Contest Period;
3 Have a valid PayPal account capable of receiving payments in USD;
4 Not be an employee, contractor, officer, or director of Alpha Intelligence LLC, or an immediate family member or household member of such persons;
5 Not be located in a jurisdiction where participation in promotional contests is prohibited by law;
6 Be in good standing with the Alpha Intelligence Affiliate Program (no prior violations, suspensions, or pending investigations).

Alpha Intelligence reserves the right to verify eligibility at any time and to disqualify any Participant who does not meet these requirements.

3. Contest Period & Timeline
The Contest operates on the following schedule:

Phase Duration Description
Contest Window Days 1–14 (2 weeks) Active competition period. New referrals and renewals count toward the leaderboard. After Day 14 at 11:59 PM EST, no new referral sign-ups will be counted.
Grace Period Days 15–21 (1 week) No new referrals accepted. Existing trial subscribers from the Contest Window who auto-renew at $49/month during this period will be counted as Qualifying Subscribers.
Calculation Period Days 22–28 (1 week) Final numbers are locked. Winners are determined and verified. Results are announced.
Payout 1st of the following month Prizes are distributed alongside regular affiliate commission payouts via PayPal.
All times referenced in these Terms are in Eastern Standard Time (EST). The Contest begins at 12:00 AM EST on Day 1 and the Contest Window closes at 11:59 PM EST on Day 14.

Alpha Intelligence reserves the right to alter the contest period at any point without prior notice. If Alpha Intelligence alters the contest period or duration it will be clearly communicated on the website and/or via email to all participants.

4. How the Contest Works
4.1 The Concept
The Contest is a performance-based competition among Alpha Intelligence affiliates. The total number of Qualifying Subscribers generated by ALL participating affiliates collectively determines whether a prize pool is activated and at what level. Individual affiliates are then ranked by their personal Qualifying Subscriber count to determine prize distribution.

4.2 Commission Structure
All participating affiliates earn a flat 35% commission on ALL referred transactions throughout the Contest Period and beyond, including:

• $6.99 trial sign-ups = ~$2.45 commission per trial
• $49/month subscription renewals = ~$17.15 commission per renewal per month
• Any other pricing structure will also earn the 35% commission per referred transaction

Commission is earned regardless of whether the prize pool activates. Commission is a separate, ongoing benefit of the Affiliate Program and is not contingent on Contest outcomes.

4.3 Partner Pricing
During the Contest Period, all affiliate referral links will direct users to partner pricing of $49/month. Visitors who access the website directly (without an affiliate link) will see the standard price of $59/month. This pricing differential is designed to incentivize customers to use affiliate links and provides affiliates with a built-in conversion advantage. Partner pricing is subject to change at any time in the future. The partner pricing sales and checkout page governs the partner pricing offered at the time.

5. Qualifying Subscribers — Definition & Rules
5.1 Definition
A “Qualifying Subscriber” is a referred individual who meets ALL of the following criteria:

7 Was referred through the Participant’s unique affiliate tracking link;
8 Initially signed up for the $6.99/7-day trial during or before the Contest Window;
9 Was successfully charged the $49/month subscription renewal on or before Day 21 (end of Grace Period);
10 The $49 payment has fully cleared with no pending disputes, chargebacks, or refund requests at the time of calculation.

5.2 The $6.99 Trial Alone Does NOT Count
The $6.99 trial sign-up alone does not count as a Qualifying Subscriber for purposes of the Contest leaderboard or prize pool activation. Only upon successful conversion to the $49/month subscription does the referral become a Qualifying Subscriber.

However, affiliates still earn their 35% commission (~$2.45) on every $6.99 trial sign-up regardless of whether that trial converts.

5.3 Pre-Contest Referrals
If an affiliate referred a subscriber prior to the Contest start date, and that subscriber’s $49/month renewal payment processes during the Contest Window (Days 1–14) or the Grace Period (Days 15–21), that renewal COUNTS as a Qualifying Subscriber for the Contest. This includes:

• Existing subscribers whose monthly $49 renewal falls within the Contest Window or Grace Period
• Trial subscribers referred before the Contest who convert to $49 during the Contest Window or Grace Period

Rationale: These sales contribute to the total subscriber count that unlocks prize tiers and are legitimate revenue generated through affiliate activity.

5.4 What Does NOT Count
The following do not count as Qualifying Subscribers:

• $6.99 trial sign-ups that have not converted to $49/month by Day 21
• Subscribers who cancel their subscription before the $49 renewal processes
• Transactions that are refunded, disputed, or subject to chargeback
• Fraudulent, duplicate, or artificially generated sign-ups
• Self-referrals (see Section 9: Prohibited Conduct)
• Sign-ups made using stolen, fraudulent, or unauthorized payment methods
• New referral sign-ups that occur after Day 14 at 11:59 PM EST (Contest Window close)
• Subscribers attributed to tracking manipulation, cookie stuffing, or other illegitimate methods

6. Prize Pool Structure
6.1 Tiered Prize Pool
The prize pool is performance-based and NOT guaranteed. It activates ONLY when the cumulative total of Qualifying Subscribers across ALL participating affiliates reaches the specified threshold:

6.2 Tier Activation Rules
• Only the highest achieved tier is distributed. Tiers do not stack or accumulate.
• If the minimum threshold of 100 Qualifying Subscribers is not met by the end of the Grace Period, NO prizes are awarded to any Participant.
• The final tier is determined based on the total Qualifying Subscriber count as of Day 21 (end of Grace Period), verified during the Calculation Period (Days 22–28).

6.3 No Guarantee of Prize
Participation in the Contest does not guarantee any prize. The prize pool is entirely contingent on collective performance. Alpha Intelligence makes no representations or warranties regarding the likelihood of any tier being achieved.

7. Prize Distribution
7.1 Top 4 Split
If a prize tier is activated, the prize pool is distributed to the top 4 affiliates ranked by total Qualifying Subscribers:

7.2 Tiebreaker Rule
In the event that two or more affiliates have an identical Qualifying Subscriber count, the tied affiliates shall split the combined prize shares of the positions they span, equally:

• 2 affiliates tie for 1st: They split (50% + 25%) = 75% equally → 37.5% each. 3rd place receives 15%, 4th place receives 10%.
• 2 affiliates tie for 2nd: 1st place receives 50%. Tied affiliates split (25% + 15%) = 40% equally → 20% each. 4th place receives 10%.
• 2 affiliates tie for 3rd: 1st receives 50%, 2nd receives 25%. Tied affiliates split (15% + 10%) = 25% equally → 12.5% each.
• 3 affiliates tie for 1st: They split (50% + 25% + 15%) = 90% equally → 30% each. 4th place receives 10%.
• 3 affiliates tie for 2nd: 1st receives 50%. Tied affiliates split (25% + 15% + 10%) = 50% equally → 16.67% each.
• 4 or more affiliates tie for 1st: They split the entire prize pool (100%) equally → 25% each (for exactly 4 people), or equally divided among all tied participants.

7.3 Fewer Than 4 Qualifying Participants
If fewer than 4 affiliates have at least 1 Qualifying Subscriber:

• 3 participants: Prize distributed as 50% / 25% / 15%. The remaining 10% is retained by Alpha Intelligence.
• 2 participants: Prize distributed as 50% / 25%. The remaining 25% is retained by Alpha Intelligence.
• 1 participant: That participant receives 50% of the prize pool. The remaining 50% is retained by Alpha Intelligence.

8. Payment Terms
8.1 Payment Method & Timing
• All prize payments are made via PayPal in USD.
• Prizes are paid on the 1st of the month following the Calculation Period, bundled with the affiliate’s regular commission payout.
• A $50 minimum payout threshold applies per standard Affiliate Program policy. If a Participant’s total payout (prize + commissions) is below $50, payment will be held until the threshold is met.

8.2 Tax Responsibility
• All prize winnings are the sole tax responsibility of the recipient.
• For U.S.-based affiliates receiving $600 or more in total payments (prizes + commissions) in a calendar year, Alpha Intelligence may be required to issue a 1099-MISC or 1099-NEC form.
• International affiliates are responsible for reporting income in accordance with their local tax laws.
• Alpha Intelligence may request tax identification information (W-9 for U.S. persons, W-8BEN for non-U.S. persons) prior to prize disbursement.

8.3 Unclaimed Prizes
If a winner cannot be contacted, fails to provide required payment information, or does not claim their prize within 30 days of the announcement, the prize shall be forfeited and retained by Alpha Intelligence.

9. Prohibited Conduct
The following activities are strictly prohibited and will result in immediate disqualification, forfeiture of all prizes and unpaid commissions, and potential permanent removal from the Alpha Intelligence Affiliate Program:

9.1 Fraudulent Referrals
• Self-referrals or referrals from accounts owned, controlled, or operated by the affiliate or their immediate household members
• Creating fake accounts, using stolen identities, or generating synthetic sign-ups
• Paying, bribing, or otherwise incentivizing individuals to sign up (e.g., “I’ll give you $5 if you sign up”)
• Offering unauthorized cash rebates, kickbacks, or discounts beyond the official partner pricing

9.2 Deceptive Marketing
• Making false, misleading, or unsubstantiated claims about Alpha Intelligence products
• Misrepresenting the Contest, prize amounts, or likelihood of winning
• Impersonating Alpha Intelligence, its employees, or other affiliates
• Using fake testimonials, fabricated results, or misleading income claims
• Creating fake urgency or scarcity not authorized by Alpha Intelligence

9.3 Spam & Prohibited Traffic
• Unsolicited bulk email (spam), SMS, or direct messages
• Purchased bot traffic, click farms, or artificial traffic generation
• Pop-up/pop-under ads that auto-redirect without user intent
• Adware, malware, or any software that generates traffic without genuine user action

9.4 Brand & Trademark Violations
• Bidding on Alpha Intelligence branded keywords (e.g., “Alpha Intelligence,” “GetAlphaIndicators”) in paid search advertising without prior written approval
• Registering domain names containing Alpha Intelligence trademarks
• Creating social media accounts that impersonate or could be confused with official Alpha Intelligence accounts

9.5 Technical Manipulation
• Cookie stuffing, forced clicks, or manipulation of tracking systems
• Exploiting technical vulnerabilities in the affiliate tracking platform
• Using multiple affiliate accounts to circumvent rules or inflate numbers
• Interfering with other affiliates’ tracking links or referral attribution

9.6 Collusion
• Coordinating with other affiliates to artificially inflate subscriber counts
• Sharing or trading referrals between affiliate accounts
• Any agreement between affiliates designed to manipulate Contest outcomes

10. Verification & Audit Rights
10.1 Audit Authority
Alpha Intelligence reserves the right to audit, review, and investigate all affiliate activity at any time during or after the Contest Period. This includes but is not limited to:

• Reviewing traffic sources and referral patterns
• Analyzing subscriber quality and retention metrics
• Investigating suspicious activity patterns
• Verifying the legitimacy of Qualifying Subscribers
• Requesting documentation or evidence of promotional methods used

10.2 Subscriber Quality Review
Any Qualifying Subscribers determined to be fraudulent, illegitimate, or in violation of these Terms during the audit process will be removed from the affiliate’s count. This may result in:

• Reduction of the affiliate’s Qualifying Subscriber count
• Change in leaderboard position
• Disqualification from the Contest
• Forfeiture of prizes
• Clawback of previously paid commissions related to fraudulent activity

10.3 Cooperation
Participants agree to cooperate fully with any audit or investigation. Failure to cooperate or provide requested information within 5 business days may result in disqualification.

11. Modification, Suspension & Cancellation
11.1 Right to Modify
Alpha Intelligence reserves the right to modify these Terms, the Contest structure, prize amounts, or any aspect of the Contest at any time if:

• Fraud or suspected fraud is detected that compromises Contest integrity
• Technical failures or platform issues affect tracking accuracy
• Legal or regulatory requirements necessitate changes
• Circumstances beyond reasonable control arise (force majeure)

Material modifications will be communicated to all registered Participants via email. Continued participation after notification constitutes acceptance of modified Terms.

11.2 Right to Suspend or Cancel
Alpha Intelligence reserves the right to suspend or cancel the Contest entirely if:

• Widespread fraud is detected
• Technical failures make accurate tracking impossible
• Fewer than 10 affiliates register for the Contest
• Legal or regulatory action requires cessation

In the event of cancellation, prizes may be awarded based on legitimate, verified activity up to the point of cancellation, at Alpha Intelligence’s sole discretion.

12. Intellectual Property & Promotional Materials
12.1 Materials Provided
Alpha Intelligence will provide registered Contest Participants with promotional materials including but not limited to:

• Email campaign templates and swipe copy
• Banner graphics and display ads
• Social media graphics and post templates
• B-roll video footage and tutorial content
• Product screenshots and feature highlights

12.2 License to Use
Participants are granted a limited, non-exclusive, revocable license to use Alpha Intelligence-provided promotional materials solely for the purpose of promoting Alpha Intelligence products through their affiliate links during and after the Contest Period.

12.3 Restrictions
Participants may NOT:

• Modify Alpha Intelligence logos, trademarks, or brand assets without written approval
• Use promotional materials for any purpose other than promoting Alpha Intelligence
• Sublicense, sell, or distribute promotional materials to third parties
• Create derivative works that misrepresent Alpha Intelligence or its products

12.4 Free Indicator Access
All registered Contest Participants will receive complimentary access to Alpha Intelligence indicators for the duration of their active affiliate status. This access is provided solely to enable authentic promotion and content creation. It may be revoked if the affiliate is removed from the program.

13. Limitation of Liability
13.1 Maximum Liability
Alpha Intelligence’s total aggregate liability under this Contest shall not exceed the total prize pool amount of the highest activated tier. In no event shall Alpha Intelligence be liable for any indirect, incidental, special, consequential, or punitive damages.

13.2 No Liability For
Alpha Intelligence is not responsible or liable for:

• Technical failures, outages, or errors in affiliate tracking platforms
• Third-party platform issues (payment processors, hosting providers, etc.)
• Internet connectivity issues affecting participation
• Lost, late, misdirected, or incomplete entries or referrals
• Unauthorized access to or alteration of entries
• Any injury or damage to Participant’s computer or device related to participation
• Errors in Contest-related materials or communications

13.3 Disclaimer of Warranties
The Contest is provided “AS IS” without warranties of any kind, express or implied. Alpha Intelligence disclaims all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

14. Indemnification
By participating, you agree to indemnify, defend, and hold harmless Alpha Intelligence LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your participation in the Contest
• Your breach of these Terms
• Your promotional activities and marketing methods
• Any claim that your promotional content infringes third-party rights
• Any tax liability arising from your receipt of prizes or commissions

15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

15.2 Informal Resolution
Before initiating any formal dispute resolution, Participants agree to first attempt to resolve any dispute informally by contacting Alpha Intelligence support. Both parties shall make good-faith efforts to resolve disputes within 30 days of written notice.

15.3 Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered in either 1) the civil court system in the legal jurisdiction listed below or 2) by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Casper, Wyoming. The arbitrator’s decision shall be final and binding.

15.4 Class Action Waiver
Participants agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.5 Attorney’s Fees
If Alpha Intelligence must enact arbitration or secure counsel to enforce any portion of this agreement, the opposing party is responsible for paying Alpha Intelligence’s applicable attorney’s fees and any applicable fees that come with the enforcement of this contract and agreement.

16. Privacy & Data
16.1 Data Collection
By participating, you consent to the collection, processing, and storage of personal data necessary for Contest administration, including:

• Name and contact information
• Affiliate account details and performance metrics
• Payment information (PayPal email)
• Tax identification information (if applicable)
• Promotional methods and traffic source data (for audit purposes)

16.2 Data Use
Personal data collected will be used solely for:

• Contest administration and prize fulfillment
• Affiliate Program management
• Legal compliance (tax reporting, fraud prevention)
• Communication regarding the Contest

16.3 Winner Publicity
Winners consent to the use of their first name, last initial, and general geographic location (city/country) in Contest announcements and promotional materials. Full names will not be disclosed without explicit written consent.

17. General Provisions
17.1 Entire Agreement
These Terms, together with the Alpha Intelligence Affiliate Program Agreement, constitute the entire agreement between the parties regarding the Contest and supersede all prior agreements, understandings, or representations.

17.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver
The failure of Alpha Intelligence to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Assignment
Alpha Intelligence may assign its rights and obligations under these Terms without notice. Participants may not assign or transfer their participation or any rights under these Terms.

17.5 Force Majeure
Alpha Intelligence shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemics, or infrastructure failures.

17.6 Survival
Sections 9 (Prohibited Conduct), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), and 16 (Privacy & Data) shall survive termination or expiration of these Terms.

19. Acknowledgment
By clicking “Join the Competition,” registering for the Contest, or otherwise participating in any Contest-related activity, you confirm that:

11 You have read these Terms in their entirety;
12 You understand and agree to all provisions contained herein;
13 You meet all eligibility requirements;
14 You will comply with all rules, including Prohibited Conduct provisions;
15 You accept that prize distribution is not guaranteed and is contingent on collective performance thresholds being met;
16 You acknowledge that Alpha Intelligence reserves the right to modify, suspend, or cancel the Contest as described herein.

These Terms & Conditions are effective as of the Contest start date and remain in effect until all obligations under the Contest have been fulfilled, including prize distribution and any pending audits or investigations.
